Consulting and strategic financial advisory.

For the moments that are not a monthly cycle: raising money, buying something, selling something, fixing something, or working out whether an idea holds together before you commit to it.

Our compliance work means we spend our days inside the financial records of companies operating in this market. That is an unusual place to advise from. We are not modelling your business from the outside; in many cases we already keep the books the model is built on.

Consulting is engaged separately from the compliance lines and scoped to a defined piece of work with a defined output. You do not need to be an existing client, and taking consulting work from us does not oblige you to move your compliance.

The scope of this service. DMF provides accounting, tax and business advisory services. DMF is not licensed to carry on financial services activities as those are defined under Jordanian law, and nothing on this page is an offer to provide them. We do not deal in or arrange deals in securities, manage investments or client money, provide investment advice, or advise on the purchase or sale of financial instruments. Where an engagement needs a licensed financial services provider, we say so at the outset and work alongside one.


What we take on

Modelling and planning

  • Financial models built for a purpose: a raise, a board, a lender, a bid or an internal decision
  • Forecasting, budgeting and scenario analysis, with the assumptions written down and defensible
  • Feasibility studies and business plans for new ventures, new lines and market entry
  • Costing and margin analysis where the numbers exist but nobody can explain them

Transactions

  • Financial due diligence on a target, or vendor-side preparation before a sale
  • Quality of earnings and working capital analysis
  • Purchase price mechanics, completion accounts and post-deal integration of the finance function
  • Structuring input on the tax and accounting consequences of a deal, alongside DML on the legal side

Funding and bids

  • Preparation of funding applications and lender packs
  • Debt advisory: what the facility actually costs, what the covenants commit you to, and whether the model survives them
  • Financial submissions for tenders and bid work, built to the format the buyer requires
  • Grant and programme applications where a financial submission is required

Performance and structure

  • Restructuring and turnaround support, including cash flow stabilisation and creditor positions
  • CFO-level advisory on a retained or project basis, for companies not yet ready to hire one
  • Finance function design: who does what, on what timetable, with what controls
  • Systems selection and implementation, including migration onto DMF MicroCode or your own platform

We work from the records rather than from what we are told about them, and we tell you early if what we find changes the question.

A written output with the assumptions visible and the risks named, not a deck that survives only until someone tests it.

Through implementation, the lender's questions, the buyer's diligence, or the board that wants it explained again.

Two practices, one team

Most of this work has a lawyer in it.

An acquisition is a set of documents as much as a set of numbers. A restructuring is a negotiation with creditors before it is a cash flow. A funding round is a term sheet that somebody has to read properly.

DMF Dar Al-Masri Law

DMF works alongside the lawyers of Dar Al-Masri Law, in practice in Amman since 1981, across corporate and commercial work, mergers and acquisitions, banking and finance, and dispute resolution. On a transaction we sit on the same side of the table: DMF on the diligence, the model and the tax and accounting consequences, DML on the structure, the documents and the negotiation.

One team, one set of facts, and nobody billing you to get up to speed on what the other side already knows.

Legal advice, representation and documents are provided by DML’s qualified lawyers under their own engagement. DMF does not provide legal services.


Larger and specialist mandates

Some project work runs beyond what any single local practice should take on alone: large infrastructure and energy mandates, project finance, and structured transactions with an international dimension.

We would rather tell you that at the start than discover it halfway through. On those engagements we bring in specialist advisers alongside us and stay in the engagement ourselves, on the parts where knowing this market and these records is what actually helps.


Where we deliver

Jordan, and the West Bank through our own staff in Ramallah. For groups operating on both sides, analysis and reporting are consolidated across them.

Consulting engagements are contracted and invoiced from Amman.
